Measures for Encouraging Multinational Companies to Establish Regional Headquarters in Beijing2009/11/13
(Part 1 of Three Parts Series) Business Beijing, in cooperation with the Beijing Municipal Development and Reform Commission, is running this column to serve foreign investors. Please remember: only e-mails and faxes are acceptable. There are many reasons why a business might find it convenient to locate their China regional headquarters in Beijing. Now, the Beijing Municipal Government is offering additional incentives to encourage companies and their managers to do that. To achieve recognition as a regional headquarters, a company must be an approved foreign-funded investment company. A foreign-funded management company must meet the following conditions: • The total asset amount of the parent company should not be less than US$400 million. • The accumulated actual registered capital amount in China of the parent company should not be less than US$10 million, and the number of investment or authorized companies in China or other places should not be less than three; or the enterprise should have no less than six invested or authorized companies in China or other places. • The registered capital of the management company should no less than US$2 million. • The management company is the only and highest management organization of an enterprise in China. • For world famous multinational companies, the requirements may be less stringent.
When applying for recognition as a regional headquarters, an enterprise should submit the following: • An application form signed by the legal representative of the company to function as the regional headquarters. • An authorized file signed by the parent company’s legal representative for establishing regional headquarters that performs the basic functions as such. • An authorized file signed by the parent company’s legal representative or the person who will be the regional headquarters, legal representative, including a resume and the identity file (copy) of the regional headquarters' legal representative. • The account of the parent company, registration file (copy), legal representative proof file (copy) and an audited balance sheet for the most recent three years. • A certificate, business license and capital verification report (copy) of the investment enterprise of the parent company in China. • An enterprise approval certificate, business license and capital verification report (copy) for fulfilling the regional headquarters function. • Other necessary materials need to support the application. Aside from the copied files required by the provisions, original copies of other materials are needed. 《关于鼓励跨国公司在京设立地区总部的若干规定》 的实施细则（一） “政策聚焦”栏目是本刊与北京市发展和改革委员会合作开辟，旨在为来京投资的外籍人士解答相关的投资政策，通过权威部门的解答，为他们提供准确及时的政策服务。 如果您在北京投资过程中遇到问题，可以通过电子邮件和传真与本刊编辑部联系。 邮箱：invest@btmbeijing.com 传真：+86 10 6715 2381 地区总部的认定 （一）符合下列条件之一，可申请认定为地区总部： 1. 经批准设立的外商投资性公司； 2. 具备以下条件的外商投资管理性公司： (1)母公司的资产总额不低于4亿美元。 (2)母公司在中国累计实缴注册资本总额不低于1000万美元，且在中国境内外投资或者授权管理的企业不少于3个；或者在中国境内外投资或者授权管理的企业不少于6个。 (3)管理性公司注册资本不低于200万美元。 (4)是母公司在中国境内惟一的最高经营管理机构。 (5)对国际知名跨国公司，可适当放宽条件。 （二）申请认定地区总部，需向市商务委提交以下材料： 1. 承担地区总部职能的企业法定代表人签署的申请书； 2. 母公司法定代表人签署的设立地区总部及履行基本职能的授权文件； 3. 母公司法定代表人签署的对拟任地区总部法定代表人的授权文件和拟担任地区总部法定代表人的简历及相应的身份证明文件（身份证明文件为复印件）； 4. 母公司的资信证明文件、注册登记文件（复印件）及法定代表人证明文件（复印件），依法审计的近三年的资产负债表； 5. 母公司在中国境内投资企业的批准证书、营业执照及验资报告（复印件）； 6. 承担地区总部职能的企业批准证书、营业执照及验资报告（复印件）； 7. 其它必要证明材料。 以上规定除注明为复印件外，其它材料应当提交文件的正本。 |
